Welcome to Waapleads. By accessing or using our website and subscription services, you agree to be bound by these Terms of Service. These terms constitute a legal agreement between you and Waaptech Coders Software Private Limited.

1. Service Description

Waapleads provides a software-as-a-service utility that enables businesses to manage contact relationships, automate workflows, and send template messages directly through their own Meta WhatsApp Business Account credentials.

2. Billing & Meta API Fees

  • Waapleads Subscription: You agree to pay the flat subscription fees configured for your selected tier. Subscriptions are billed automatically on a recurring monthly or annual basis.
  • Zero Message Markup: Waapleads charges a software license fee only. We apply no per-message surcharges or markup conversation fees.
  • Direct Meta Billing: All message conversation fees are charged directly to your payment method registered inside your Meta WhatsApp Business Manager. You are solely responsible for maintaining your Meta wallet balance and paying Meta directly for message costs.

3. Acceptable Use Policy

You agree to use Waapleads and WhatsApp messaging in compliance with all applicable laws and Meta's official WhatsApp Business Terms and developer policies. Specifically, you agree not to:

  • Send unsolicited promotional broadcasts (spam) or violate contact opt-in requirements.
  • Use unofficial workarounds, headless browser session triggers, or emulate mobile apps to bypass official Meta APIs.
  • Transmit content that is unlawful, harmful, threatening, or violates third-party copyright laws.

Waaptech Coders Software Private Limited reserves the right to suspend or terminate accounts that trigger high user report blocks, receive spam classifications, or violate Meta's Business rules.

4. Disclaimer of Warranties & Limitation of Liability

Waapleads operates as an application layer overlaying Meta Platforms, Inc.'s APIs. We do not guarantee Meta's API uptime, template approval times, or that your WhatsApp account will not be flagged by Meta if you violate their spam policies.

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Waaptech Coders Software Private Limited shall not be liable for any indirect, incidental, or consequential damages resulting from account suspensions, lost logs, or message delays.

5. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.
